Agreement to these terms

These Terms of Service (“Terms”) are a legal agreement between you and Ellipsia Inc (“we”, “us”, “our”), the publisher of Scansy — Document Scanner & PDF tools. They apply to the Scansy app for Android, Scansy Pro, the optional Scansy Vault service, and this website (together, the “Services”).

By downloading, installing or using the Services, you agree to these Terms and to our Privacy Policy, which explains how we handle information. If you do not agree, do not use the Services.

If you use Scansy on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.

Definitions

• “App” means the Scansy mobile application for Android, including updates.
• “Scansy Pro” means the one-time, lifetime in-app purchase that unlocks the full features of the App.
• “Scansy Vault” means the optional, end-to-end encrypted cloud backup subscription, which is not yet available.
• “Your Content” means the documents, images, PDFs, text, signatures and other material you scan, import, create or store with the App.
• “Google Play” means the Google Play Store, operated by Google LLC and its affiliates, through which the App and purchases are provided.

Who can use Scansy

You may use the Services only if you can form a binding contract where you live, or if your parent or legal guardian has agreed to these Terms on your behalf. Scansy is not directed at children under 13. To create a Scansy Vault account, you must be at least 13 or the minimum age of digital consent in your country, whichever is higher.

Your licence to use Scansy

Subject to these Terms, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable and revocable licence to download, install and use the App on Android devices that you own or control, for personal or business purposes. The Google Play Terms of Service also apply to your use of the App.

The App is licensed, not sold. We and our licensors keep all rights not expressly granted to you.

Acceptable use

You agree not to:

• copy, modify, distribute, sell, rent or sublicense the App, or make it available to others as a service;
• decompile, reverse engineer or disassemble the App, except where the law expressly allows it despite this restriction;
• remove, bypass or interfere with purchase checks, licensing or security features;
• use the Services to break any law, infringe anyone’s rights, or create, forge or alter documents for fraud or deception;
• upload malware to Scansy Vault, probe or overload our systems, or access them other than through the App; or
• use automated means to access the Services, or use them to build a competing product.

Your content

You own Your Content. We claim no ownership of it. Your Content is stored on your device, and we cannot see it. If you use Scansy Vault, it is encrypted on your device before upload, and we cannot read it either.

If you use Scansy Vault, you grant us a limited licence to store, copy and transmit your encrypted files solely to provide the backup service to you. This licence ends when you delete the files or your account.

You are responsible for Your Content and how you use it. Only scan, copy and share documents you have the right to. Respect copyright, privacy, confidentiality and any laws about copying identity documents, banknotes or official records where you live.

The free tier and Scansy Pro

Free. Scansy includes 10 free scans (saved documents) so you can try the App before you pay. We may change what the free tier includes for future versions, but that will not affect a Scansy Pro purchase you have already made.

Scansy Pro is a one-time, lifetime purchase made through Google Play. It unlocks unlimited documents, every filter and the full PDF toolkit, with free updates for as long as we offer and support the App. There is no subscription.

• Pro is tied to the Google account used for the purchase in Google Play. It can be restored on another device signed in to the same account, and it is for your own use.
• “Lifetime” means for as long as we offer and support Scansy.

Prices, payments and taxes

• All payments are processed by Google Play. Google Play shows the price, in your currency and including any applicable taxes, before you confirm a purchase.
• Prices are set per country and may change. A price change never affects a purchase you have already completed.
• Payment methods, charges and payment disputes are governed by Google Play’s terms. We do not receive or store your payment details.

Refunds and cancellation rights

Refund requests are handled under Google Play’s refund policy. You can request a refund through Google Play. If you have trouble, contact us and we will help where we can.

If you are a consumer in the EEA, UK or another place where the law gives you a right to cancel purchases of digital content, that right applies as described by the law and by Google Play at the time of purchase. Nothing in these Terms limits any refund or cancellation rights you have under consumer law.

Scansy Vault subscription

Applies when available. Scansy Vault has not launched yet.

What it is. Scansy Vault is an optional, end-to-end encrypted backup sold as a yearly subscription through Google Play. It includes 10 GB of encrypted storage and Scansy Pro while the subscription is active.

Renewal and cancellation. The subscription renews automatically each year at the then-current price unless you cancel before the renewal date. You can cancel at any time in Google Play (Payments & subscriptions → Subscriptions). Cancelling stops the next renewal; you keep access until the end of the period you have paid for. Uninstalling the App or deleting your account does not cancel the subscription. If the price changes, Google Play will notify you in advance as its policies require.

Storage limit. The 10 GB limit applies to the encrypted size of your backed-up files. When you reach it, you will not be able to back up more until you free up space.

When a subscription ends. You can no longer upload new backups. Your existing encrypted backup is kept for 60 days so you can resubscribe or restore it, and is then deleted. You can delete it yourself at any time (see account deletion).

Your account and your key. You are responsible for keeping your sign-in method secure and for keeping access to your encryption key: either the Google account that stores it or your recovery key. Vault is zero-knowledge. If the key is lost, we cannot decrypt or recover your backup, and we are not responsible for that loss.

Availability. We aim to keep Vault available and your backups intact, but we do not guarantee uninterrupted service. Vault should not be your only copy of documents you cannot afford to lose.

Your device and backups

Your documents are stored on your phone. You are responsible for your device, its screen lock and security updates, and for keeping your own copies of important documents, for example by exporting PDFs. If your phone is lost, reset or replaced, or the App is uninstalled, documents that were not exported or backed up cannot be recovered by us.

Third-party services

The Services rely on third parties, including Google (Google Play, Firebase, ML Kit), RevenueCat, Supabase and Cloudflare, as described in the Privacy Policy. Their terms may also apply to you. When you share a document from Scansy to another app or service, your use of that app is governed by its own terms, and we are not responsible for it.

Updates and changes to the App

We may release updates that add, change or remove features, fix bugs or improve security. Some updates may be needed to keep using the App or Vault. We may stop supporting older versions of Android over time; the minimum supported version is shown on the Google Play listing (currently Android 7.0). We will not remove the core features that Scansy Pro unlocks from a version you have already installed.

Intellectual property and feedback

The App, this website and their design, code, text and graphics are owned by Ellipsia Inc or its licensors and protected by intellectual property laws. “Scansy”, “Ellipsia” and their logos are our trademarks; you may not use them without our permission, except to refer to the App accurately. Google Play and the Google Play logo are trademarks of Google LLC.

If you send us ideas or feedback, you allow us to use them freely without any obligation to you. Please don’t include private documents in feedback.

Disclaimers

We work hard to make Scansy reliable. However, to the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

In particular, we do not warrant that the Services will be uninterrupted or error-free, that text recognition will be accurate, or that a scanned or compressed copy of a document will be accepted by any organisation as a substitute for the original. Always check important scans before relying on them.

Limitation of liability

To the fullest extent permitted by law:

• Ellipsia Inc will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, documents, profits, revenue or goodwill, arising from or related to your use of the Services; and
• our total liability for all claims relating to the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or USD 50 (or the equivalent in your currency).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud, or under consumer protection laws.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Ellipsia Inc from claims, losses and reasonable costs brought by third parties arising from Your Content or your breach of these Terms. This section does not apply to you if you are a consumer in a country whose law does not allow it.

Suspension and termination

You can stop using Scansy at any time by uninstalling it, and you can delete a Vault account at any time in the App.

We may suspend or terminate your access to Scansy Vault, or your licence to use the App, if you seriously or repeatedly breach these Terms, if required by law, or to protect other users or our systems. Where reasonable, we will give you notice and a chance to export or delete your backup first. If we discontinue Vault altogether, we will give you at least 30 days’ notice so you can restore your documents.

Sections that by their nature should survive termination (including ownership, your content responsibilities, disclaimers, limitation of liability, indemnity and governing law) continue to apply.

Your rights as a consumer

If you are a consumer, you may have rights under the law of the country where you live that cannot be excluded or changed by a contract, such as statutory rights about digital content that is faulty or not as described. These Terms do not affect those rights.

Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of India, without regard to conflict-of-law rules. The courts of India have jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the country where you live, and you keep the protection of its mandatory consumer laws.

Before starting formal proceedings, please contact us at scansy@ellipsia.app and give us 30 days to try to resolve the issue informally. Most concerns can be sorted out this way.

Google Play

These Terms are between you and Ellipsia Inc only, not Google. Google is not responsible for the App or its content, and has no obligation to provide maintenance or support for it. Your use of Google Play, including purchases, is also subject to the Google Play Terms of Service.

General

• Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Services.
• Severability. If any part of these Terms is found unenforceable, the rest remains in effect, and that part is applied as far as the law allows.
• No waiver. If we don’t enforce a right immediately, we have not given it up.
• Assignment. You may not transfer your rights under these Terms. We may transfer ours as part of a merger, acquisition or sale of assets, provided your rights are not reduced.
• Events beyond our control. We are not liable for delays or failures caused by events outside our reasonable control.
• Language. These Terms are written in English. If we provide a translation, the English version prevails where the law allows.
• Notices. We may give you notices in the App, in Google Play release notes or, for Vault users, by email.

Changes to these terms

We may update these Terms as the Services change or the law requires. We will update the “Last updated” date above and, for significant changes, tell you in the App or in the Google Play release notes before they take effect. Changes never apply retroactively to purchases you have already made. If you continue to use the Services after changes take effect, you accept the updated Terms; if you do not agree, stop using the Services.
